These Terms and Conditions constitute an agreement between Sanct, Inc. a company organized under the laws of Delaware, referred to herein as “Sanct,” and you, the user, referred to herein as “User” or “You.” By signing up to use the Services, you acknowledge and agree to be bound by these Terms and Conditions. You affirm that you are legally capable of entering into contracts and, if you are entering into these Terms and Conditions on behalf of an entity, you have the legal authority to bind that entity. These Terms and Conditions also incorporate by reference any additional Service Terms, Privacy Policies, and any other guidelines or policies we may provide in writing , as well as any document signed by you and Sanct or any Sanct webpage that you use to access the Services (collectively, the "Agreement")
- SERVICES
- Use of Services. Sanct grants you a non-exclusive, non-transferable right to access and use the Services during the term of this Agreement. This includes the right to use Sanct`s software tools to manage your legal practice efficiently. “Services” refers to the AI-powered tools provided by Sanct for legal practices, including client management, case handling, and document generation, accessible through our website and any associated applications, documentation, and technology platforms.
- Third-Party Offerings. Third-party products, services, or content may be presented via the Services ("Third-Party Offerings"). If you choose to access or use a Third-Party Offering, such use is subject to this Agreement and any additional terms associated with the Third-Party Offering.
- Account Responsibilities. You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account. You must ensure that all account information is complete, accurate, and updated regularly. Any unauthorized use of your account or Services must be immediately reported to Sanct. You agree not to share account access credentials, resell, or lease access to your account or the Services.
- ACCEPTANCE OF TERMS
- Agreement to Terms. By accessing and using the Services, you agree to these Terms and Conditions as presented. If you do not agree with these Terms and Conditions, or any part thereof, you must not use the Services.
- Eligibility. To use the Services, you must be at least 18 years of age. By agreeing to these Terms and Conditions, you represent that you meet this age requirement.
- Consent to Cookies. The Services utilize cookies to enhance user experience. By using the Services and agreeing to these Terms and Conditions, you consent to Sanct's use of cookies in accordance with our Cookies Policy.
- ALPHA USER ACKNOWLEDGMENT
- Acknowledgment of Alpha Status. This section applies to Sanct`s early adopters. Alpha users will maintain their status throughout the duration of the time they utilize Sanct`s services. As an alpha user, you acknowledge that the Services are in an early stage of development and are provided "as is" with potential for errors, downtime, or inconsistencies. Sanct is not responsible for any such errors or their potential impact. Your feedback on the Services' functionality and user experience is highly appreciated and will contribute significantly to future development.
- Purpose of Alpha Users. The purpose of your participation as an alpha user is to evaluate the Services in their developmental stage. Your insights, feedback, and reports are invaluable to us in identifying areas of improvement, enhancing functionality, and ensuring the reliability of the Services before a wider release.
- Feedback and Reporting. You agree to provide timely, detailed, and constructive feedback regarding your experiences with the Services, including but not limited to reporting any errors, bugs, or faults that you encounter during the testing phase.
- Confidentiality. You may have access to proprietary information, future plans, or internal features of the Services during the alpha testing phase. You agree to maintain the confidentiality of all such information and not disclose it to any third party without Sanct's prior consent.
- No Warranty. Sanct provides the alpha version of the Services without any warranties of any kind, whether express or implied, including but not limited to the warranties of merchantability, fitness for a particular purpose, or non-infringement. Sanct does not warrant that the Services will meet your specific requirements or that the operation of the Services will be uninterrupted or error-free.
- USER CONDUCT, ACKNOWLEDGEMENT AND OBLIGATIONS FOR ALL USERS
- Limitation of Liability. To the fullest extent permitted by law, Sanct shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses (even if Sanct has been advised of the possibility of such damages), resulting from the use or the inability to use the Services during the alpha testing phase.
- No Formal Support. During Sanct`s alpha phase, Sanct may offer limited support services at its sole discretion. However, you acknowledge that formal customer support and service level commitments are not available for the Services until their official launch.
- Compliance with Terms. You agree to comply with all terms and conditions outlined in this Agreement, any additional terms related to the Services, and all applicable laws and regulations in your use of the Services.
- You agree not to use the Services to:
- Conduct any unlawful activities.
- Infringe on the intellectual property rights or privacy rights of others.
- Transmit viruses, malware, or any other malicious code designed to interrupt, destroy, or limit the functionality of any computer software or hardware.
- Engage in behavior that is abusive, disruptive, or harmful to the Services or other users.
- Submission of Data and Content. If you submit, upload, or transmit any data, feedback, or content via the Services, you agree that:
- You have the lawful right to distribute and reproduce such content.
- Such content is not illegal, obscene, threatening, defamatory, or otherwise injurious to third parties.
- The content does not consist of or contain any software viruses.
- Use Limitations. You understand that Sanct provides the Services only for its intended use and you agree not to:
- Reverse engineer, decompile, or extract the source code of the Services.
- Sub-license, sell, rent, lease, transfer, or assign the Services.
- Use the Services for any commercial purposes.
- Misrepresent your identity or affiliation to any third party.
- SANCT'S RIGHTS
- Sanct reserves the right to:
- Modify or discontinue, temporarily or permanently, the Services (or any part thereof) with or without notice.
- Refuse any and all current or future use of the Services.
- Terminate accounts and refuse service to any users that violate these terms and conditions .
- CONTENT OWNERSHIP, RIGHTS, AND USAGE
- User-Generated Content and Data. Any content you create, upload, or share using the Services, including data, text, files, or other materials, is considered "User-Generated Content." You retain all rights to your User-Generated Content.
- Sanct's Intellectual Property. All rights, titles, and interests in and to the Services, including all associated intellectual property rights, are and will remain the exclusive property of Sanct and its licensors. The Services and all materials contained therein are protected by copyright, trademark, and other laws of the United States and foreign countries. Your use of the Services does not grant you any rights to the use or control of Sanct's intellectual property except for the limited access rights expressly set forth in this Agreement.
- Feedback and Suggestions. You may provide feedback, suggestions, or ideas about the Services. By submitting feedback, you agree that Sanct is free to use, share, and implement this feedback without any obligation or compensation to you
- Restrictions on Content Use.
- You may not: Use, copy, reproduce, modify, distribute, display, or sell any Sanct intellectual property or third-party content available through the Services, except as expressly permitted by this Agreement or as authorized in writing by Sanct and the respective owners
- Use the Services or any content obtained from the Services to develop a competing service or product.
- Third-Party Content. Now or anytime in the future the Services may contain links to third-party websites, advertisers, services, or resources that are not owned or controlled by Sanct. Sanct does not endorse or assume any responsibility for any such third-party sites, information, materials, products, or services. If you access a third-party website or service from the Services, you do so at your own risk, and you understand that this Agreement and Sanct's Privacy Policy do not apply to your use of such sites.
- PRIVACY AND DATA PROTECTION.
- Data Collection and Use. Sanct is committed to protecting the privacy and security of the data collected through its Services. The use of collected data, including personal information, is governed by Sanct's Privacy Policy. By using the Services, you agree to the collection, use, and sharing of your data in accordance with this policy.
- Data Security. Sanct implements industry-standard measures to protect the data collected and processed through the Services. Despite these efforts, no method of electronic transmission or storage is completely secure, and Sanct cannot guarantee absolute security. You acknowledge that you provide your personal information at your own risk.
- Data Retention and Deletion. Sanct retains user data only for as long as necessary to provide the Services and for legitimate business purposes. Upon completion of the service or at your request, Sanct will delete or anonymize user data in accordance with its data retention policy and applicable legal requirements. However, Sanct may retain some data as necessary to comply with legal obligations, resolve disputes, and enforce agreements.
- User Responsibilities. As stated in Sanct`s Account Responsibilities, you are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account. You agree to immediately notify Sanct of any unauthorized use of your account or any other breach of security.
- Changes to Privacy Policy. Sanct reserves the right to modify its Privacy Policy at any time. Changes will be effective immediately upon posting on the website. Your continued use of the Services after any change in the Privacy Policy will constitute your acceptance of such change.
- SPECIFIC INTELLECTUAL PROPERTY RIGHTS
- Ownership of Services and Content. Sanct owns all rights, title, and interest, including all intellectual property rights, in and to the Services, including any software, technologies, documentation, and content provided as part of the Services. Except for the limited access rights expressly granted to you under this Agreement, no other rights are granted, either express or implied, to you.
- Restrictions on Use. You may not use, copy, modify, distribute, sell, or lease any part of the Services or included content, nor may you reverse engineer or attempt to extract the source code of the software, except to the extent laws prohibit these restrictions or you have Sanct's written permission.
- User-Generated Content. Any content, data, or information that you provide to the Services, including feedback and suggestions (collectively, "User Content"), remains your property. By providing User Content, you grant Sanct a worldwide, perpetual, irrevocable, royalty-free license to use, host, store, reproduce, modify, create derivative works, communicate, publish, publicly perform, publicly display, and distribute such content, but only for the limited purpose of operating, promoting, and improving the Services.
- Third-Party Intellectual Property. Sanct respects the intellectual property rights of others and expects users of the Services to do the same. Sanct may, in appropriate circumstances and at its discretion, disable or terminate the accounts of users who may be infringing the intellectual property rights of others.
- GENERAL AGREEMENT TERMS
- Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.
- Severability. If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect, and an enforceable term will be substituted reflecting our intent as closely as possible.
- Amendment. Sanct reserves the right to amend this Agreement at any time. You are responsible for regularly reviewing the Agreement. Continued use of the Services after any such changes shall constitute your consent to such changes.
- Assignment. You may not assign any rights or obligations under this Agreement without the prior written consent of Sanct. Sanct may assign its rights or obligations under this Agreement without your consent.
- Entire Agreement. This Agreement constitutes the entire agreement between you and Sanct concerning the subject matter hereof and supersedes all prior agreements or understandings, whether written or oral, concerning the subject matter.
- No Waiver. The failure of Sanct to enforce any right or provision of this Agreement will not be deemed a waiver of such right or provision.
- Notices. Any notices or other communications required or permitted hereunder must be in writing and given by Sanct (i) via email (in each case to the address that you provide) or (ii) by posting to the Service. For notices made by e-mail, the date of receipt will be deemed the date on which such notice is transmitted.
- Force Majeure. Sanct shall not be liable for any failure to perform its obligations hereunder where such failure results from any cause beyond Sanct`s reasonable control, including, without limitation, mechanical, electronic or communications failure or degradation.
- Relationship of the Parties. Nothing in this Agreement shall be construed as creating a partnership, contract of employment, agency, or joint venture between the parties.
Acknowledgment of Risks and Waiver of Liability
- Acknowledgment of Risks. By using Sanct's Services, you acknowledge that your use of AIpowered legal tools involves risks, including but not limited to the risk of incorrect data processing, privacy risks, and potential misuse of sensitive data. You understand that Sanct takes reasonable steps to mitigate these risks but cannot guarantee complete security.
- Waiver of Liability. To the maximum extent permitted by law, you agree to waive and release Sanct, its affiliates, officers, agents, and employees from any claims, liabilities, damages, losses, costs, expenses (including attorney fees), or demands arising out of or in connection with your use of the Services. This waiver includes, but is not limited to, any claim for negligence, data breaches, errors in AI-generated documents or advice, or any other cause of action.
- Indemnification. You agree to indemnify, defend, and hold harmless Sanct and its affiliates, officers, agents, and employees from any claims, liabilities, damages, losses, costs, expenses (including attorney fees), arising from or in connection with your use of the Services, violation of these Terms, or violation of any rights of a third party.
- Limitation of Liability. Notwithstanding anything to the contrary in this Agreement, Sanct’s liability to you for any cause whatsoever, and regardless of the form of the action, will at all times be limited to the amount paid, if any, by you to Sanct for the Services during the term of your use.
- Disclaimer of Warranties. Sanct provides the Services on an "as is" and "as available" basis. Sanct expressly disclaims all warranties of any kind, whether express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and noninfringement.
- Acknowledgment. You acknowledge that you have read this waiver and release and fully understand that it is a release of liability. You expressly agree to release and discharge Sanct and all of its affiliates, officers, agents, and employees from any and all claims or causes of action and you agree to voluntarily give up or waive any right that you may otherwise have to bring a legal action against Sanct for personal injury or property damage.
